Exhibitor Rules

TIFFCOM Organizer’s Office (hereinafter the Organizer) determines Exhibition Rules for TIFFCOM as follows for the use of services provided by TIFFCOM (hereinafter the Exhibition) managed by the Organizer.
The exhibiting company or organization to participate in the Market (hereinafter the Exhibitor) shall exhibit pursuant to the terms and conditions provided in the Exhibition Rules (hereinafter the Rules).

Article 1. Adaptation

  • The Rules aim to establish the rights and obligations between the Organizer and the Exhibitor regarding the procedure for exhibiting, conditions for providing the Market, the contents of services provided and the use of the Exhibition. The Rules apply to all relationships between the Exhibitor and the Organizer regarding the use of the Exhibition.
  • Rules and conditions set in the Exhibitor Manual separately provided by the Organizer and usage rules for the Exhibition (hereinafter the usage rules) on the Organizer’s official website constitute parts of the Rules.
  • The Exhibitor shall agree with the Rules and the Privacy Policy set by the Organizer upon the use of the Exhibition and the services provided.
  • In case the conditions of the Rules differ from information in the Exhibitor Manual, the usage rules and others, the conditions of the Rules apply in priority.
  • In order to implement smooth operation, whenever necessary, the Organizer may add, alter, suspend or delete contents and specifications of the Rules, the Exhibitor Manual, the usage rules, other rules, Exhibition Booth, the Exhibitor related information and URL (https://tiffcom.jp/en/).
    Also, it may newly stipulate matters not stipulated herein, making various additions or amendments.
    The Organizer shall accept no responsibility for any loss caused to the Exhibitor and the third party by adding, altering, suspending, deleting the contents and the specifications as stated above.
  • Specifications of the Exhibition Booth, floor plan and location of the Exhibition Booth shall be determined by the Organizer.

Article 2. Definition

The following terms used in the Rules shall have meanings defined below.

  • (1)
    “Exhibition Agreement” means the agreement of the use of the Exhibition established between the Organizer and the Exhibitor based on the Rules.
  • (2)
    “Intellectual Property Rights” means copyright, patent right, utility model right, design right, trademark right and other intellectual property rights (including obtaining such rights and/or the right for applying for registration, etc.).
  • (3)
    “Posted Data” means content posted by the Exhibitor using the Exhibition and the services provided as well as linked data (including but not limited to text, images, video, and other data).
  • (4)
    “Official Website” means the website the Organizer operates with “tiffcom.jp” and “jcs.tokyo” domains (including the website the Organizer may change its domain name and the contents for any reasons).
  • (5)
    “The Exhibitor” means an individual person, company, country or municipality who establishes the Exhibition Agreement with the Organizer and completes registration as a user of the Exhibition under the Article 3. and 6.
  • (6)
    “The Exhibition” means the exhibition named TIFFCOM managed by the Organizer (including the exhibition the Organizer may change its name and the contents for any reasons).

Article 3. Method of Application for Exhibition and Conditions for Establishing of the Exhibition Reservation

  • Applicant shall use an online application form which can be found on the Official Website(https://tiffcom.jp/en/) to apply for the Exhibition Booth online.
    The applicant shall have administrative authority over the handling of relevant operations with the relevant job title at their company or organization.
  • Upon receipt of the application form, and after checking the entries are sufficient and satisfactory, the Organizer will examine whether the requested exhibition is adequate or not. (The criteria of the examination will not be disclosed.)
    Upon passing the examination, the Organizer will notify the applicant by E-mail attesting the acceptance.
    The Exhibition Reservation will be established on the date the Organizer sends the notification to the applicant by the E-mail.
  • In the event the Organizer decides after the examination of the application that the applicant is not appropriate for the purpose of the Exhibition (the criteria of the examination will not be disclosed), the Organizer may, at its own discretion, refuse the application.
    The criteria of the decision and the reason of refusal will not be disclosed.
  • In the event, two or more companies or organizations jointly apply for the Exhibition, one of the companies or organizations that represents all the members (hereinafter the Representative Exhibitor) shall make the application and name and contact information of the other exhibitors shall be informed to the Organizer separately.
    Contacts or delivery of necessary items from the Organizer shall be made only to the Representative Exhibitor.
    For more details, please refer to the Exhibitor Manual.
  • For a pavilion organizer contacted by the Organizer, instead of submitting the online application form, the Exhibition Reservation will be established when the Pavilion Agreement provided by the Organizer is signed by both parties.
    All the Rules will apply to the pavilion organizer and their exhibitors.

Article 4. Conditions of Registered Data and Changes

  • In case the registered data changed, the Exhibitor shall notify the Organizer of the change without delay by the method specified by the Organizer.
    In addition, if it is found that the registered data or information submitted by the Exhibitor differs from the facts, the Organizer has a right to revise the registered data or information.
  • The Exhibitor shall approve and observe the Rules, the Exhibitor Manual and the usage rules.
    These exhibition rules are subject to change and amendment.

  • In case the Posted Data violates the Rules, the relevant data will be deleted and the links to the violated data will be disconnected.
  • The required data shall be submitted by the deadline the Organizer specifies.
    The data which is not submitted by the deadline will be rejected by the Organizer at the expense and risk of the Exhibitor.
    The data must also comply with the Exhibitor Manual in addition to the above.

Article 5. Management of Passwords and User IDs

  • The Exhibitor shall, at their own risk, properly manage and store passwords and user IDs related to the Exhibition, and shall not allow third parties to use them, or lend, transfer, change names, buy or sell, etc.
  • The Exhibitor is responsible for damages caused by insufficient management of the passwords or user IDs, misuse, use by third parties, etc.
    The Organizer shall accept no responsibility for such damages.

Article 6. Exhibition Fee and Payment

  • If the Exhibition Reservation is established based on Article 3. Herein, the Exhibitor shall make a payment of Exhibition Fee in the method specified in an invoice issued by the Organizer.
    The Exhibitors in Japan shall cover all expense, transfer fees.
    For Overseas Exhibitors, an additional 9,900 JPY will be charged as a Handling Fee if the payment will be made by international bank transfer.
  • In the event the payment is made by the Exhibitor, the Exhibition Agreement will be established upon receipt of the payment.
    After that the Exhibitor will be able to exercise all the rights as Exhibitor.
  • In the event the Exhibitor fails to make the payment based on Article 6., Paragraph 1.
    above, the Organizer may deem the Exhibition Agreement is cancelled after the payment deadline.

Article 7. Cancellation of the Exhibition Agreement and Cancellation Charge

  • After the establishment of Exhibition Agreement, proposals from the Exhibitor to cancel the Agreement, or to reduce the number of the Exhibition Booth are not accepted in principle.
  • Notwithstanding the preceding paragraph, if the Exhibitor wishes to cancel the Exhibition Agreement or reduce the number of the booths due to special circumstances, the Exhibitor shall send the Organizer a letter clearly stating such reasons, or send an E-mail notice to propose the cancellation of the Agreement or reduction of the number of booths.
    In the event the Organizer accepts the cancellation of the Agreement or the reduction of the number of booths, the Exhibitor may cancel the whole or a part of the Exhibition Agreement on condition that the Exhibitor shall pay the following cancellation charge or partial cancellation charge in proportion to the period from the day of proposal to cancel the Agreement or to reduce the number of booths to the opening day of the Exhibition(hereinafter collectively called the Cancellation Charge) to the Organizer by the day the Organizer stipulates:
  • (1)
    If the Exhibitor cancels a part or all of the booths after the Exhibition Agreement is established, and if the date of the cancellation request notice is the following day of the date three months prior to the first day of the Exhibition, or later with or without any payments made, the amount equivalent to 100% of the predetermined Exhibition Fee shall be paid as the Cancellation Fee.
    If the period from the date of cancellation request to the first day of the Exhibition is more than three months, the amount equivalent to 20% of the predetermined Exhibition Fee shall be paid as the Cancellation Fee.
  • (2)
    In the event the Exhibitor does not begin using the Exhibition Booths by 10:00 a.m. of the first day of the Exhibition, the Exhibitor’s exhibition shall be deemed cancelled and 100% of the Exhibition Fee shall be charged as the Cancellation Fee.
  • (3)
    Should the Exhibitor has already paid to the Organizer the whole or a part of the Exhibition Fee at the time the Exhibitor made the cancellation notice pursuant to the preceding paragraphs, or at the time the Exhibitor was deemed to have cancelled the Exhibition, the Cancellation Charge provided in each of the preceding paragraphs shall be appropriated from such already-paid Exhibition Fee, and should there be remaining amount after the appropriation, the amount shall be returned to the Exhibitor pursuant to the method and return date the Organizer specifies.

Article 8. Exhibition Fee (Exhibition Booth Fee)

The Exhibition Fee (the Exhibition Booth Fee) shall be as shown in the “Exhibitor Information” posted on the Organizer’s official website.

Article 9. Determination of Exhibition Booth Location

Location of the Exhibition Booths shall be determined by the Organizer.

Article 10. Contents of Services Provided by the Organizer upon the Establishment of Exhibition Agreement

  • Contents of the services provided by the Organizer upon the establishment of the Exhibition Agreement are specified at https://exhibitor.tiffcom.jp/
  • The final date of the Exhibition Agreement will be announced on the Official Website operated by the Organizer, and the same applies when extending.

Article 11. Prohibitions

  • Subleasing, trading, assigning, exchanging and granting the use of the Exhibition Booths

    The Exhibitor shall not sublease, trade, assign, exchange or grant the use of the whole or part of the Exhibition Booths, regardless of whether the other party is another Exhibitor or a third party.
  • Exhibition aimed at directing visitors to other event sites

    If the Exhibitor's presentation in the Exhibition is aimed at directing visitors to other event sites where Exhibitor is holding an exhibition or seminar of its own to display its main products, its participation in the Exhibition is refused.
  • Spot sale of exhibits
    Spot sale of exhibits at the Exhibition site is prohibited, including publications and software products, except for those that applied and received permission from the Organizer in advance.
  • Exhibits
    • (1)
      Exhibits (including persons and all the products) should not be offensive to public order and morals.
    • (2)
      Exhibits of adult content which are forbidden to view for the person under 18 is prohibited.
  • Nuisances
    Upon the use of the Exhibition, the Exhibitor must not act in any of them specified the following paragraphs or that the Organizer judges to be applicable.
    In the event the Organizer decided all the acts of the Exhibitor conducted in relation to the Exhibition, including exhibition, events or lectures, fall under the nuisances set forth below, the Organizer will demand improvement thereof, whether during or prior to the Exhibition.
    Should the Exhibitor not comply with the demand, the Organizer may demand immediate suspension of such act, or immediate withdrawal of all the exhibition, events and lectures.
    The Exhibitor may not make any claim or request whatsoever to the Organizer for payment of expenditures incurred attributable to such “improvement”, “immediate suspension” or “immediate withdrawal”.
    In the event such steps were taken at the Organizer’s expense, the Exhibitor shall become liable for such expense.
  • (1)
    Use of aisles outside the Exhibition Booth (like luring visitors or conducting on-the-street questionnaires) that causes significant trouble to other exhibitors or visitors.
  • (2)
    It is prohibited to distribute any printouts etc. at outside of the Exhibitor's own Exhibition Booth or in any public area.
  • (3)
    Causing trouble to other exhibitors or visitors by blasting loudspeakers or other noises.
    Otherwise causing trouble to other exhibitors or visitors by light, heat, gas, odor, vibration or smoke or others.
  • (4)
    Exhibition or acts terribly lacking dignity in light of common sense.
  • (5)
    Exhibition or acts offensive to public order and morals.
  • (6)
    Exhibition of adult content which are forbidden to view for the person under 18.
  • (7)
    Such exhibition is prohibited as making collection of visitor’s personal information the main object, without exhibiting products the exhibitor handles in the booth, not conducting any sales promotion activities for products or services.
  • (8)
    Acts that violate the law or are related to criminal acts.
  • (9)
    Frauds or threads to the Organizer, other users of the Exhibition or other third parties.
  • (10)
    Acts that infringe the Intellectual Property Rights, portrait rights, privacy rights, honors, other rights or benefits of the Organizer, other users of the Exhibition or other third parties.
  • (11)
    Through the Exhibition, to send the Organizer or other participants of the Exhibition any of the following information and the information or the Posted Data that the Organizer judges to be applicable.
    • Information that contains excessively violent and cruel expressions.
    • Information that includes computer viruses and other harmful computer programs.
    • Information that includes expressions that undermine the honor or credibility of the Organizer, other users of the Exhibition or other third parties.
    • Information that contains excessive obscene expressions.
    • Information that includes expressions nourishing discriminations.
    • Information that includes expressions nourishing suicide or self-injurious behavior.
    • Information that contains expressions encouraging inappropriate use of drugs.
    • Information that includes antisocial expressions.
    • Information requesting the spread of information to third parties such as chain mail.
    • Information that contains expressions causing discomfort to others.
    • Information aiming for personal (non-business) encounters.
  • (12)
    Acts that put an excessive load on the network or system of the Exhibition.
  • (13)
    Acts that may interfere with the operation of the Exhibition.
  • (14)
    Unauthorized access or attempted unauthorized access to the Organizer’s network or system.
  • (15)
    Acts of impersonating as a third party.
  • (16)
    Acts of using the ID or password of other users of the Exhibition.
  • (17)
    Advertising, solicitation or sales activities at the Exhibition without prior approval of the Organizer.
  • (18)
    Acts that collect information on other users of the Exhibition as main purpose.
  • (19)
    Acts that cause disadvantage, damage, or discomfort to the Organizer, other users of the Exhibition, or other third parties.
  • (20)
    Acts that violate the usage rules of the Exhibition on the Organizer’s website.
  • (21)
    Acts that provide profits to antisocial forces.
  • (22)
    Acts that aim for personal (non-business) encounters.
  • (23)
    Acts that directly or indirectly induce or facilitate above acts.
  • (24)
    Other acts that the Organizer deems inappropriate.

Article 12. Installation of Exhibits, Decoration of Booth and Removal

The Exhibition venue is not a bonded exhibition.
In case the exhibits or other items are to be brought in from foreign countries, the Exhibitor shall let them through the customs clearance and other formalities in advance on its own responsibility.
Issues concerning music copyrights and other copyrights involved in the exhibits shall be dealt with by the Exhibitor on its own responsibility.
Also, whether or not to give permission to other Exhibitors and participants for photographing, sound recording and other recording with regard to the exhibits shall be decided by the Exhibitor on its own responsibility.
The Exhibitor shall also be responsible for giving permission to Press and others for photographing, sound recording and secondary use of the exhibits and artists.
The Organizer will shoot the venue, exhibitor booths, etc.
to record the Exhibition and the Organizer shall have the right of the shot video.

  • Delivery and installation of the exhibits and other items shall be carried out within a period informed by the Organizer separately.
    However, installation of the exhibits in the Exhibition Booths shall be finished no later than the day preceding the first day of the Exhibition.
    Should the Exhibitor does not occupy its Exhibition Booth by 10:00 a.m. on the first day of the Exhibition, the Organizer shall deem the Exhibition Agreement cancelled.(Claiming Cancellation Charge shall be applied.)
  • Decorating the Exhibition Booth shall be done according to the rules provided in the Exhibitor Manual.
    For the Raw Space, only officially appointed contractor by the Organizer is allowed to conduct booth construction and decoration.
  • Decorations in breach of the rules in the Exhibitor Manual shall be subject to removal.
  • When the Exhibitor delivers, carry out or move the exhibits during the Exhibition, the Exhibitor shall obtain Organizer's approval without fail before implementing these operations.
    During the Exhibition, bringing-in, carrying-out, removing and moving of the exhibits cannot be done without the approval of the Organizer.
    Also, with regard to bringing-in, carrying-out of the exhibits and other items, exhibition and decoration, the Exhibitor shall follow the Rules of Use of the site, Disaster Prevention Guideline, the Fire Service Act and other regulations.
    As for damage or loss of standard decorative articles set in a standard Package Booths, the Exhibitor shall be responsible for restoration to original state, provided, however, that this shall not apply to the cases where such damage or loss is attributable to act of God or other disaster, or is due to the reason admitted by the Organizer.
  • Carrying out of the exhibits and decorative articles within the Exhibition Booth must be finished within the period informed by the Organizer.
    Articles not carried out within such period shall be removed by the Organizer at the expense and risk of the Exhibitor.
    Other than mentioned above, installation and removal of the exhibits and other items shall be performed following the provisions set forth in the Exhibitor Manual.
  • By the Fire Prevention Ordinance of Tokyo, it is prohibited in the Exhibition site to smoke outside the prescribed place, use naked fire, bring in hazardous objects, place things in the aisles and emergency exits, indoor hydrants and fire extinguishers, which become hindrance to their use.

Article 13. Indemnity

  • The Organizer, for any case, assumes no responsibility whatsoever for any injury or damage to persons, goods, and facilities that are attributed to the use or occupancy of the Exhibition Booths by the Exhibitor and its employee or agent.
    The Exhibitor shall guarantee the safe use of booth to the Organizer at its own risk and shall accept liability for all damages should there be any accident.
    Any accidents shall be reported to the Organizer immediately.
  • While the Organizer pays great attention to the management, safety and security of the Exhibition and the exhibits at all times during the Exhibition period, it assumes no responsibility for any theft, loss, of the exhibits or a fire disaster in the Exhibition Booths of the Exhibitor caused by human negligence.
    Therefore, the Exhibitor shall take all possible measures for the prevention of a theft, loss of exhibit and building material and of accidental fire at its own risk by covering them with damage insurance, for example, where necessary, during the period between the day the Exhibits are delivered into venue and from the venue.
    Please pay great attention while moving in and out of the goods.
  • The Organizer shall refund the Exhibition Fee on a pro-rate basis according to the remaining number of days of the Exhibition in compensation to unavailability of the Exhibition Booths use only if the Organizer cancels the Exhibitions due to any self-responsible reason, which shall cover any and all compensations.
    In addition, the Organizer shall accept no responsibility for any damage caused to the Exhibitor as a result of unanticipated situation such as the occurrence of damage by a direct or indirect natural disaster, or as a result of an order or instruction by national or local governments or by acts of God.

Article 14. Postponement and Cancellation of the Exhibition

  • In the event the Organizer concluded that it is difficult or impossible to hold the Exhibition due to natural disaster or other force majeure event, the Organizer may decide to postpone or suspend the Exhibition.
  • Even if holding of the Exhibition is postponed or canceled pursuant to the preceding paragraph, the Organizer shall not refund the Exhibition Fee to the Exhibitor.

Article 15. Termination

  • In the event the Exhibitor falls under any of the following situation, the Organizer may forthwith terminate the Exhibition Agreement without giving any notice or demand to, and without giving any compensation to the Exhibitor.
    • (1)
      Any of the property or rights in the Exhibitor’s possession is subject to attachment, provisional seizure, provisional disposition or public auction, or a procedure of collecting tax and public charge delinquency was enforced, provided, however, this shall not apply to the cases where attachment or provisional seizure was implemented with the Exhibitor as a third-party obligor.
    • (2)
      Bank suspension was implemented, or became insolvent.
    • (3)
      Revocation or suspension of business was ordered by regulatory agency.
    • (4)
      If the Organizer determines that the Exhibitor or any planned exhibit is inappropriate to the purpose of holding the Exhibition, or if the Organizer decides that the Exhibitor’s presentation is socially unsound because a civil, a criminal, or an administrative issue that can affect the public confidence of other Exhibitors is concerned, or an illegal or unjustifiable conduct, or criminal offence, or other act is conducted or is likely.
    • (5)
      In addition to the preceding situations, the Exhibitor is in breach of the whole or a part of the Rules or the Exhibitor Manual, etc. and despite the demand from the Organizer such defects are not remedied during the reasonable period the Organizer provided.
  • In the event the Organizer terminates the Exhibition Agreement under this Article, the Organizer shall not be prevented from demanding compensations including the Cancellation Fee under Article 11.

Article 16. Operation of the Exhibition and Exemption of Liability

The Organizer may establish various rules and make amendments thereto to implement smooth operation.
Also it may newly stipulate matters not stipulated herein, making various additions or amendments.
The Organizer may suspend holding of the Exhibition due to natural disaster or other unforeseen contingency.
In that event, already paid-up the Exhibition Fee and the loss caused by the suspension shall not be compensated.
The Organizer may change the period of the Exhibition and its opening time due to unavoidable circumstances.
Cancellation of application for the Exhibition on account of such changes shall not be accepted.
Also, the loss caused by such changes shall not be compensated.

Article 17. Confidentiality

For non-public information disclosed by the Organizer on condition of treating confidentially in connection with the Exhibition, the Exhibitor must treat it confidential, unless the Organizer gives prior written consent.

Article 18. Handling of User Information

  • The Exhibitor agrees that the Organizer shall handle the Exhibitor’s user information following the rules stipulated in the Organizer’s Privacy Policy.
  • The Organizer shall be able to use and disclose the information, data etc. provided by the Exhibitor to the Organizer at the discretion of the Organizer as statistical information in a form that cannot identify an individual and, the Exhibitor shall not object to this.

Article 19. Changes to the Rules

The Organizer may change the Rules as necessary.
In case the Organizer changes the Rules, the Organizer shall notify the Exhibitor of the contents of the change and the effective date of the changed Rules.

Article 20. Contact / Notification

For inquiries from the Exhibitor regarding the Exhibition, other communications and notifications, the change of the Rules and other information for the Exhibitor, the Organizer shall make contacts to the E-mail address registered by the Exhibitor representative upon making application for the Exhibition Booth.

Article 21. Transfer of the Status in the Exhibition Usage Agreement

  • The Exhibitor shall not, without the prior written approval of the Organizer, transfer, assign, set collateral or otherwise dispose to a third party regarding the status under the Exhibition Agreement or the rights or obligations based on the Rules.
  • In case the Organizer transfers the business related to the Exhibition to another company, the status in the Exhibition Agreement, the rights and obligations based on the Rules, the registered data and other customer information, shall be transferred to the business transferee, and the Exhibitor shall agree to such transfer in advance.
    The Business transfer specified in this paragraph shall include not only normal business transfer but also all cases in company splits and other business transfers.

Article 22. Separability

In case any of, or part of, the provisions of the Rules is judged invalid or unenforceable by the law, etc., the rest of the provisions of the Rules shall continue to be in full effect.

Article 23. Governing Law and Jurisdiction

The Rules and the Exhibition Agreement shall be governed by the laws of Japan, and as for lawsuits under the Rules and the Exhibition Agreement, the district court having jurisdiction over the location of the head office of the Organizer shall be the competent court of the first instance.

Approval of Exhibition Rules and Display Rules

All exhibitors shall approve and observe the Rules, the Exhibitor Manual and the rules established and sent to the Exhibitor by the Organizer.
These exhibition rules are subject to change and amendment.
